Terms of Use
Last updated 12 October 2026
1. Agreeing to these terms
These terms are between you and SPENCER AI (ABN 31 978 335 623), of Victoria, Australia ("we", "us"), and not with Apple. By downloading or using Thought Tank you agree to them. They are Thought Tank's licence agreement in place of Apple's standard Licensed Application End User License Agreement, and include the terms Apple requires in section 13.
2. Your licence
We give you a personal, non-exclusive, non-transferable licence to use Thought Tank on Apple devices you own or control, as allowed by the App Store's Usage Rules. Please do not copy, resell or reverse-engineer the app.
3. Your content
Everything you put into Thought Tank is yours. We claim no rights over it, and we never see it. You are responsible for what you add, including anything you add to a family space that others can see.
4. Free, Plus and payment
- Free: up to five sections with something in them (People does not count), the Thought Bubble, the Tank, the Apple Watch, My Day and the Vault.
- Plus: as many sections as you like and the family space, for your household. A$3.99 a month or A$39.99 a year, or the price the App Store shows for your country.
- Free trial: new subscribers get the first 2 weeks free. One free trial per Apple ID, across both plans. Cancel at least 24 hours before the free period ends and you are charged nothing; if you do not cancel, the plan you chose begins and is charged at the price above.
- Plus is an auto-renewing subscription charged to your Apple ID when you confirm. It renews for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period. Manage or cancel it in your iPhone's Settings, under your name, then Subscriptions.
- Plus can be shared with your household through Apple's Family Sharing. Joining someone else's family space is free.
- Payments, renewals and refunds are handled by Apple under its terms. Ask Apple for a refund at reportaproblem.apple.com.
- If Plus ends, nothing you have kept is locked or deleted. You will not be able to fill new sections beyond five, or start a family space.
- We may change prices; you will be told by Apple before a change affects your renewal, and can cancel.
5. The Vault
The Vault is an extra little layer for everyday codes, provided free, and is not a password manager or a security product. Codes are kept only on your iPhone behind Face ID, with your passcode as the fallback, so anyone who knows your passcode can open it. We cannot see or recover Vault codes. Do not use the Vault for banking, email, identity or other high-value credentials. You use it at your own risk and accept that its contents can be lost permanently.
6. What Thought Tank is not for
Thought Tank is a personal memory aid. It never sends reminders. Its family notifications, when somebody else changes your family's day (see the Privacy Policy), depend on iCloud, Apple's push service, your settings and your phone, so it may be late, may not arrive, or may be wrong, and it is never a reason to rely on the app for anything time-critical. It is not a medical, medication, health, safety or emergency tool. Do not rely on it for taking medicine, for care decisions, for anything time-critical, or where a missed note could cause harm. Guesses about where a thought belongs, and the tidied points, are made by simple rules on your phone and may be wrong; always check them.
7. The family space
The family space uses Apple's iCloud. It is available only while Apple's services are, and is subject to Apple's terms. The person who starts a space controls who is invited. Please only add information you are happy for everyone in the space to see.
8. Your data, your responsibility
Thought Tank keeps your information on your device. We do not operate a server that stores it and we hold no copy. You are responsible for your device's security (including who knows your passcode), for keeping backups if you want them, and for what you choose to store. We cannot restore, recover or transfer anything that is lost, deleted, corrupted or left on a lost or replaced device.
9. Limitation of liability
This section is intended to limit our liability to the greatest extent the law allows. It is subject to section 12, which cannot be excluded and which prevails over anything here that conflicts with it.
- No warranties. Thought Tank and this website are provided "as is" and "as available". To the maximum extent permitted by law we exclude all conditions, warranties, guarantees and representations of any kind, express or implied, including any as to merchantability, fitness for a particular purpose, accuracy, reliability, availability, security or non-infringement. We do not promise the app or the site will be error-free or uninterrupted, that defects will be corrected, or that any guess, point, entry or transcription will be correct, complete or timely.
- No liability for your information. To the maximum extent permitted by law we are not liable for any loss, alteration, corruption or disclosure of any information, including notes, recordings (including recordings in your own voice and those on your watch), transcriptions, calendar entries, family space entries, family names and Vault codes, however caused, including where it is lost because a device is lost, replaced, reset, sold, damaged or accessed by somebody else, because iCloud, Apple's services or a device's storage fail or change, or because you or a member of your family space delete or change something.
- No liability for family notifications. To the maximum extent permitted by law we are not liable for a family-space notification that is late, missing, repeated or wrong, or for anything that happens because one was or was not shown.
- No liability for how you use it. To the maximum extent permitted by law we are not liable for anything that happens because you, or anybody else, relied on Thought Tank or made or did not make a decision based on it, including anything described in section 6, anything to do with health, medicines, money, legal matters, safety, travel, appointments or being in a particular place at a particular time. Thought Tank is a memory aid you choose to use. You accept that risk.
- No indirect loss. To the maximum extent permitted by law we are not liable for any indirect, incidental, special, punitive or consequential loss, or for any loss of profit, revenue, opportunity, data, reputation or goodwill, whether or not that loss was foreseeable and whether the claim is in contract, tort (including negligence), under statute or otherwise.
- No liability for availability. To the maximum extent permitted by law we are not liable for Thought Tank, any part of it or this website being unavailable, interrupted, changed, suspended or discontinued.
- Cap. To the maximum extent permitted by law, and subject to section 12, where liability cannot be excluded our total aggregate liability to you for all claims relating to Thought Tank, this website and these terms, however arising, is limited to the greater of the amounts paid for Plus (through Apple) in the 12 months before the first event giving rise to the claim, and A$50.
- Other people and other services. To the maximum extent permitted by law we are not liable for Apple, the App Store, iCloud, Apple's push notification service, your device, your network, or anybody you invite into a family space, or for anything they do or fail to do.
- Severance. If any part of this section is found to be unenforceable, it is to be read down to the extent necessary, or severed, and the rest of this section continues to apply.
10. What you are responsible for
You are responsible for your use of Thought Tank and of this website, for your device and who has access to it (including who knows your passcode), for keeping your own backups, for what you choose to store, and for what you add to a family space that others can see.
11. Using this website
This website is information about Thought Tank, nothing more. It is provided "as is", may change or be taken down at any time without notice, and we do not promise it will be available, accurate or up to date. Nothing on it is advice of any kind, and nothing on it forms part of any agreement except these terms. To the maximum extent permitted by law we accept no liability arising from your use of, or reliance on, this website or any site it links to. Sections 9 and 10 apply to this website as they apply to the app.
Support is offered by email on a best-efforts basis. We aim to reply, but we do not promise a reply within any particular time, or to solve any particular problem, and anything we say by email is general information only, given subject to these terms. Sections 9 and 10 apply to it.
12. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot be excluded, restricted or modified by agreement. In Australia our goods and services come with guarantees that cannot be excluded. Where the law permits us to limit our liability for failing to meet a consumer guarantee, our liability is limited, at our choice, to supplying the service again or paying the cost of having it supplied again.
If you live outside Australia, you may also have rights under your local consumer law that these terms cannot take away. Every other section of these terms, and section 9 in particular, applies only so far as this section allows.
13. Apple and the App Store
You got Thought Tank from Apple's App Store, so:
- these terms are between you and us, not Apple. We, not Apple, are solely responsible for Thought Tank and its content;
- your licence (section 2) is to use Thought Tank on Apple devices you own or control, as allowed by the App Store's Usage Rules;
- Apple has no duty to provide any maintenance or support for Thought Tank;
- if Thought Tank fails to meet any warranty that applies, you can tell Apple, and Apple will refund the price you paid for it, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for Thought Tank, and any other claim, loss, cost or expense from a failure to meet a warranty is governed by these terms;
- Apple is not responsible for any claims by you or anybody else about Thought Tank or your having or using it, including product liability claims, claims that it fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy or similar law. We are responsible for those, as far as these terms say;
- if anybody claims that Thought Tank, or your having or using it, infringes their intellectual property rights, we, not Apple, are responsible for investigating, defending, settling and discharging that claim, as far as these terms say;
- you confirm that you are not in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties;
- you must follow any third-party terms that apply when you use Thought Tank, such as your mobile or internet provider's;
- questions, complaints or claims about Thought Tank go to us: SPENCER AI (ABN 31 978 335 623), Victoria, Australia, welcome@myspencer.ai;
- Apple and its subsidiaries are third-party beneficiaries of these terms, and once you accept them Apple may enforce them against you as a third-party beneficiary.
14. General
- Changes to these terms. We may update these terms. For a material change we will tell you in the app before it takes effect, and the date at the top will change. If you do not agree, you can stop using Thought Tank and cancel Plus at any time. A change does not apply to anything that happened before it took effect.
- Suspending or stopping. To the extent permitted by law, we may change, suspend or discontinue Thought Tank, any part of it or this website at our discretion. If we stop offering it, the app on your phone and what you have kept will keep working for as long as your device and Apple allow.
- Law. These terms are governed by the laws of Victoria, Australia, and the courts of Victoria can hear disputes about them. If you are a consumer, you keep any right your local law gives you to use the courts, and the consumer protections, of where you live.
- If part cannot be enforced. If any part of these terms cannot be enforced, it is read down only as far as needed, or severed, and the rest of these terms still applies.
